These Vendor Terms of Use ("Vendor Terms") are an agreement between you and JKP Group LLC, a Puerto Rico limited liability company, doing business as CrewBadger ("CrewBadger," "we," "us," or "our"). They govern the vendor-facing web pages CrewBadger operates — the pages you reach through a private link when a business that uses CrewBadger invites you to bid on work, submit your business documents, confirm a visit, view a payment status, or manage your vendor profile (together, the "Vendor Pages").
In short: a contractor business you work with (or may work with) uses CrewBadger to run its operations. The Vendor Pages are how that business exchanges bids, documents, schedules, and payment records with you. You never need a CrewBadger account, a password, or a subscription to use them, and CrewBadger charges you nothing. Your deal is with the business — CrewBadger is the software in the middle.
1. Who We Are
CrewBadger is a software platform for home-service and trades businesses. The businesses that subscribe to CrewBadger (each a "Business") use it to manage jobs, scheduling, proposals, invoices, and payments — and, through the Vendor Pages, to work with their own subcontractors and vendors. "You" means the vendor: the subcontractor, supplier, or trade business (or the individual acting for it) using a Vendor Page.
The Vendor Pages are provided by JKP Group LLC, a limited liability company organized under the laws of the Commonwealth of Puerto Rico, doing business as CrewBadger. Our notice and business address is:

These Vendor Terms apply to you as a vendor using the Vendor Pages. They are separate from our customer Terms of Service, which bind the Businesses that hold CrewBadger accounts — not you. Our Privacy Policy (www.crewbadger.com/privacy) describes how we handle your information, including vendor information specifically, and is incorporated into these Vendor Terms by reference.
2. The Vendor Pages; Your Links
The Vendor Pages include:
- Bid pages — view a job request a Business sent you, submit or revise a price, or decline;
- Onboarding pages — submit your W-9, certificate of insurance, trade license, and contact preferences to a Business that asked for them;
- Visit-scheduling pages — confirm or decline a proposed visit window for work a Business awarded you, and view upcoming visits;
- Bill and outcome pages — see the status of a bid request or a bill, including a payment status the Business has recorded; and
- Your Vendor Passport ("passport") page — an optional profile described in Section 8.
You reach each Vendor Page through a private tokenized link sent to you by message or email — no account and no password. Treat your links like a signed document in your name: anyone who has a link can see the page it opens and act on it. Do not forward or share your links. Links can expire or be revoked; if one no longer works, ask the Business that sent it for a fresh one.
3. How You Accept These Vendor Terms
These Vendor Terms are linked in the footer of every Vendor Page. By opening or using a Vendor Page, you agree to them. In addition, the actions that matter most ask for your explicit agreement at the moment you take them: when you submit a bid, and when you complete onboarding, the page tells you that the action confirms your acceptance of these Vendor Terms. Each time you accept, we keep a record of the date, the version of the Vendor Terms then in effect, and technical details of the submission (such as the IP address it came from), so there is a reliable record of exactly what was agreed and when.
You represent that you are at least 18 years old, that you are using the Vendor Pages for business purposes, and that you have authority to act for the vendor business you represent. If you do not agree to these Vendor Terms, do not use the Vendor Pages — you can contact the Business directly instead, outside CrewBadger.
4. No Fees to Vendors
CrewBadger charges vendors nothing. Viewing a bid request, submitting or revising a bid, onboarding, uploading documents, confirming visits, viewing payment statuses, and using the Vendor Passport are all free to you, and we take no fee or commission from any amount a Business pays you. (Your mobile carrier's ordinary message and data rates may apply to text messages.)
5. Our Role — Software for the Business, Not a Party to Your Agreement
CrewBadger is the software a Business uses to coordinate with you. It is important that you understand what we are not:
- We are not a party to, a broker of, or a guarantor of any agreement between you and a Business. We do not select vendors, award work, set prices, or guarantee that any Business will award you work, that you will perform it, or that you will be paid.
- We do not hold or transfer funds, and we do not process payments between you and a Business. Money between you and a Business moves entirely outside CrewBadger — by whatever method you and the Business use. When a bill or outcome page shows a "paid" status, that status is the Business's own record that it paid you; CrewBadger displays what the Business recorded and cannot confirm that the money actually moved. If a payment status looks wrong, contact the Business — the pages include the Business's contact details for exactly that purpose.
- We are not a staffing agency, employment agency, referral agency, payment processor, money transmitter, or licensing authority, and we do not vouch for any Business or any vendor.
- Tax records: the Business files, not us. Where a Business uses CrewBadger to track payments to you, the software can compute yearly totals from the payments the Business records (for example, toward a Form 1099-NEC). The Business — not CrewBadger — is responsible for its own tax reporting and filings, and nothing on the Vendor Pages is tax, legal, or accounting advice.
6. Bids
When a Business sends you a bid request, the bid page shows you the job context the Business chose to share, and you may submit a price, revise it, or decline.
- You can revise your bid at any time until the Business awards the work. After an award, the bid page shows the outcome.
- The Business sees your bid. Your bid amount and any notes you submit are visible to the Business that requested it (and its authorized users).
- A bid is an offer to the Business — not to CrewBadger. Submitting a bid does not form a contract on the platform, and neither you nor the Business is obligated to the other until the two of you form an agreement outside the platform, on whatever terms you strike between yourselves. If the Business awards you the work, your contract is with the Business alone.
- Bid requests can close without an award — for example, if the underlying job does not move forward. The bid page will show a closed state.
You are responsible for the accuracy of every bid you submit. Bid amounts are in U.S. dollars.
7. Your Documents
Onboarding pages let you submit business documents a Business has asked for: a W-9 (including your taxpayer identification number), a certificate of insurance, a trade license, and your contact preferences.
- You are responsible for your documents. You represent that every document and detail you submit is accurate, current, and yours to provide, and that you have the authority to provide it.
- What we do with them. We store your documents and make them available to the Business that requested them. Taxpayer identification numbers are encrypted at rest, and documents are held in access-restricted storage.
- We collect and display — we do not verify. We do not confirm insurance coverage with any carrier, validate any license with any licensing board, or check any document's authenticity. Status labels on the pages (such as "current," "expiring," or "expired") reflect only the documents and dates as submitted.
- Submitting documents is never consent to be texted. Text-message consent is a separate, optional checkbox, described in Section 9.
- A Business may also upload a document about you that it already has on file (for example, an insurance certificate you previously gave it). Our Privacy Policy describes how information that enters the platform this way is handled and what choices you have.
8. The Vendor Passport
The Vendor Passport (your "passport") is an optional profile that lets you reuse documents you have already submitted instead of re-entering them for each Business.
- Creating a passport is your choice. It is a separate, explicit opt-in — it is never required to bid for, onboard with, or work with any single Business, and it never happens automatically.
- You control sharing. You choose which Businesses to share your passport with; sharing conveys the documents listed on the share screen (your W-9, insurance-certificate, and trade-license records). Nothing in your passport is visible to a Business unless you share it with that Business.
- A share is an ongoing grant. When you share your passport with a Business, future renewals of your documents (for example, a new insurance certificate or an updated W-9) flow to that Business automatically — so your file with them stays current without re-submitting — until you revoke that Business's grant.
- You can revoke any grant at any time from your passport page. Revocation is prospective: it stops all future sharing and future access for that Business. A Business that already received a document may keep the copy it received — it may have its own legal reasons to retain records for payments it already made (such as tax records).
- Sharing conveys documents only. Sharing your passport with a Business gives that Business your documents — it does not give that Business permission to text or email you. Messaging consent is always separate (Section 9).
- Deletion. To ask us to delete your passport or other vendor data, email hello@crewbadger.com. Some records survive deletion where the law allows or requires it — including opt-out records (which must persist to be honored) and copies a Business already received — as described in our Privacy Policy.
9. Texts and Emails — Your Choices and How to Stop Them
Every message you receive through CrewBadger — other than the automated replies to your STOP and HELP requests, which come from CrewBadger itself — is sent on behalf of a specific, named Business about its working relationship with you: a bid request, an onboarding invitation, a document reminder, a visit confirmation, or a payment notice. CrewBadger does not send you marketing text messages of its own.
- Reply STOP to any text and every CrewBadger text stops. A STOP reply is absolute for the number it comes from: no Business on CrewBadger can text you through us again — not the Business whose message you replied to, not a Business you have worked with before, and not a Business contacting you for the first time. Every vendor text we send leaves from one registered CrewBadger number pool, so a single STOP ends all of them; there is no remaining Business, and no time window, that a STOP fails to cover. STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT are honored the same way. We record the block against your number, it cannot be overridden from inside the product, and nothing on the platform silently reverses it — including later onboarding with a new Business.
- Text consent is a separate, optional checkbox. During onboarding you can check a box agreeing that the specific Business may text you. It is never pre-checked, and submitting documents or a bid never signs you up for texts. That consent belongs to the Business named on the page — it does not open you up to texts from other Businesses.
- Before you onboard, the first text a Business sends you rests on that Business's affirmative confirmation to us that you gave it your number as a business contact in the course of a working relationship.
- Frequency, rates, and your number. Message frequency varies — texts follow the work, so how many you get depends on how many Businesses you deal with and how active each job is; there is no fixed or recurring number of messages. Your mobile carrier's ordinary message and data rates may apply. We never share your mobile number or your SMS consent with third parties for marketing or promotional purposes — not with data brokers, not with advertisers, and not for anyone else's marketing. Outside the Business that already has your number, we disclose it only to the service providers that deliver the message for us (listed in Section 8 of our Privacy Policy), to a Business you yourself choose to share a passport profile with, and where the law requires it.
The two links below are additional controls, offered so you can make a narrower choice than STOP — they are not the route to a full stop, because STOP already is one. Both also cover email, which replying STOP to a text does not.
- Stop one Business. Every Vendor Page carries a "stop messages" link naming the Business the page belongs to. Using it stops that Business's texts and emails to you, for every purpose, without affecting other Businesses. Your documents on file and any work already awarded to you are unchanged.
- Stop all. Every Vendor Page also carries an explicit "stop all messages" link. Using it is absolute across both channels: it blocks texts and emails from every Business for every purpose, and nothing on the platform silently reverses it — including later onboarding with a new Business.
- Email. Every email sent to you through CrewBadger includes a working unsubscribe link.
- Help. Reply HELP to any text for assistance information.
- Timing. You can set a contact-time preference during onboarding or on a bid page, and message send-times respect it. We also apply send-timing rules so automated messages arrive at reasonable local hours.
We keep records of your opt-ins, opt-outs, and preferences so we can honor them. An opt-out record is retained even if you later ask us to delete your data — a stop request has to survive deletion to keep being honored.
10. Your Privacy
Our Privacy Policy at www.crewbadger.com/privacy describes the information we handle about vendors — contact details, documents, bids, payment records recorded by Businesses, consent records, and page-access details — who can see it, how long we keep it, and how to exercise your choices. 11. Acceptable Use
Using the Vendor Pages, you will not:
- Submit false, forged, or misleading information — including documents that are not genuine, bids you do not intend, or documents you have no right to provide;
- Misrepresent your identity, your business, or your authority;
- Use a link that was not sent to you or your business, or give your links to anyone outside your business;
- Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Vendor Pages or any CrewBadger system, or scrape or extract data from them by automated means; or
- Use the Vendor Pages in violation of any applicable law.
We may suspend or revoke access to the Vendor Pages (including specific links) for conduct that violates these Vendor Terms or applicable law.
12. Intellectual Property; License to Your Content
The Vendor Pages, the software behind them, and the "CrewBadger" name and marks belong to CrewBadger and its licensors. We grant you a limited, revocable, non-transferable permission to use the Vendor Pages for their intended purpose. All rights not expressly granted are reserved.
Your content stays yours. The documents, bids, and information you submit remain yours. You grant CrewBadger a limited, non-exclusive license to host, store, transmit, display, and process them solely to operate the Vendor Pages and related features for you and the relevant Business — including making your submissions available to the Business they were submitted or shared to — to comply with law, and to keep the platform secure. This license does not give us any right to sell your content or use it for purposes unrelated to providing the service.
13. Disclaimers
THE VENDOR PAGES ARE PROVIDED FREE OF CHARGE, "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, CREWBADGER DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Vendor Pages will be uninterrupted, error-free, or secure; that any message, bid, document, or payment status will be delivered, received, or accurate on any particular timeline; or that any Business's information — including any payment status it records — is true, complete, or current. Anything a Business tells you, records, or promises is the Business's alone.
14. Limitation of Liability
To the fullest extent permitted by law: (a) neither you nor CrewBadger will be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising out of or relating to these Vendor Terms or the Vendor Pages; and (b) CrewBadger's total aggregate liability arising out of or relating to these Vendor Terms or the Vendor Pages will not exceed one hundred U.S. dollars ($100) — a limit that reflects that the Vendor Pages are provided to you free of charge.
These limits do not apply to a party's own fraud, willful misconduct, or gross negligence, or to any liability that cannot be limited under applicable law. For clarity, CrewBadger has no liability for the acts, omissions, work, or payments of any Business or any vendor — your recourse for a dispute with a Business is against that Business.
15. Governing Law and Venue
These Vendor Terms and any dispute arising out of or relating to them or the Vendor Pages are governed by the laws of the Commonwealth of Puerto Rico, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the courts of the Commonwealth of Puerto Rico and the United States District Court for the District of Puerto Rico, located in San Juan. Before filing anything, please email hello@crewbadger.com with a description of the problem — most issues can be resolved directly.
16. Changes to These Vendor Terms
We may update these Vendor Terms from time to time. The "Last updated" date at the top shows the current version, and each bid submission and onboarding completion records the version in effect at that moment. If we make a material change, it applies to you from the first time you use a Vendor Page after the updated version is posted. If you do not agree to an updated version, stop using the Vendor Pages and contact the Business directly instead.
